General Terms and Conditions (GTC)
 These General Terms and Conditions are governed by the laws of the Republic of Estonia.
 They apply to all business transactions, including European and international dealings,
 and are provided in English for clarity.
 
1. General Provisions

1.1 Scope and Form
 (1) These General Terms and Conditions (GTC) apply to all business relationships between Hivetowerstudio OÜ (hereinafter 'the Company') and its business clients.
 (2) Unless otherwise agreed, these GTC form the framework for all current and future contracts.
 (3) Deviating client terms shall not apply unless expressly accepted in writing by the Company.
 (4) Legally significant notices (e.g., termination, defect claims) must be made in writing (letter or email).

1.2 Contract Formation
 (1) Offers from the Company are non-binding. All materials (e.g., drafts, concepts) remain the property of the Company.
 (2) An order placed by the client constitutes a contractual offer. The contract is concluded only when the Company expressly accepts in writing (including by email). Oral or implied acceptance is excluded.

1.3 Performance Deadlines
 (1) Deadlines are agreed individually.
 (2) If no fixed deadline is agreed, performance depends on the Company’s workload.

1.4 Prices, Services, and Payment Terms
 (1) Prices are net plus applicable VAT.
 (2) Unless otherwise agreed, payment is due upon delivery and acceptance.
 (3) Delivery is deemed accepted if the client does not raise specific written objections within 10 business days.
 (4) The Company may request advance payments.
 (5) The client may only offset or withhold payments against undisputed or finally adjudicated claims.
 (6) Late payments accrue statutory default interest.

1.5 Liability
 (1) Liability for damages is excluded except for: injury to life, body, or health, breach of essential contractual duties, or damages caused by intent or gross negligence.
 (2) In case of simple negligence, liability is limited to foreseeable, typical damages.
 (3) Mandatory product liability provisions remain unaffected.

1.6 Confidentiality
 (1) Both parties shall keep confidential all non-public information received in connection with the contract, for an indefinite period.
 (2) Exceptions apply where information is public, independently developed, lawfully obtained, or must be disclosed by law.
 (3) Subcontractors and employees shall be bound by equivalent obligations.

1.7 Subcontractors
 The Company may engage subcontractors (e.g., freelancers). Where subcontractors have access to client data, the Company ensures GDPR-compliant Data Processing Agreements (DPAs) and remains responsible for their compliance.

1.8 Use of Client Logos and References
 The Company may only use the client’s name, logo, or project results for marketing or reference purposes with the client’s prior written consent.

1.9 Intellectual Property and Usage Rights
 (1) The Company retains all intellectual property rights to works created.
 (2) Upon full payment, the client receives a non-exclusive, non-transferable right to use the works for its own marketing purposes.
 (3) The Company may use anonymized or non-confidential versions of works for: its own marketing, and research and development, including training of AI models, provided no confidential or personal client data is disclosed.

1.10 Termination
 (1) Contracts are project-based unless otherwise agreed.
 (2) Either party may terminate for cause with immediate effect, including in case of insolvency or material breach.
 (3) If the client terminates without cause, the Company is entitled to compensation for work performed and unavoidable costs.1.11 Governing Law and Jurisdiction
 (1) These GTC are governed by the laws of Estonia, excluding international conflict-of-law provisions.
 (2) Exclusive jurisdiction is Tallinn, Estonia, unless mandatory statutory rules dictate otherwise.

2. Special Provisions for Work Services

2.1 Client Cooperation
 The client shall provide all necessary content (texts, images, data) in the agreed digital format and on time. Delays or failures in cooperation may result in additional costs or project delays.

2.2 Acceptance
 (1) The client has 10 business days to review delivered works.
 (2) If no defects are reported within this period, the works are deemed accepted.
 (3) The client may request up to three reasonable revisions at no additional cost, unless otherwise agreed.

2.3 Warranty
 (1) The Company warrants contractual compliance of the works for 12 months from acceptance.
 (2) Remedy is primarily by repair or replacement.
 (3) If defects persist after two repair attempts, statutory rights apply.


Privacy Policy

1. Information We Collect
We may collect:
 - Name, email, phone number, company details, and project information provided by you,
 - Technical data such as IP address, browser, device type, and usage behavior (via cookies/analytics).

2. How We Use Your Information
- Responding to inquiries and project requests,
 - Preparing offers and executing contracts,
 - Improving our services and website,
 - With consent: sending newsletters or updates,
 - Internal research and development, including training AI systems (with anonymized/non-confidential data).
 We never sell or rent personal data.

3. Legal BasesProcessing is based on:
 - Your consent (Art. 6(1)(a) GDPR),
 - Contract performance (Art. 6(1)(b)),
 - Legal obligations (Art. 6(1)(c)),
 - Legitimate interests (Art. 6(1)(f)), e.g. service improvement.

4. Data Retention
- Inquiries: 24 months after last contact,
 - Contracts & project files: 7 years,
 - Invoices & accounting: 7 years (legal requirement),
 - Marketing consents: until withdrawal or 24 months of inactivity,
 - Website analytics/cookies: max. 12 months.
 After expiry, data is deleted or anonymized.

5. Sharing Your Information
We use service providers under GDPR-compliant DPAs, including:
 - Microsoft (Outlook, Office 365),
 - Monday.com (project management),
 - Google (Workspace, Analytics),
 - Squarespace (hosting),
 - Webflow (hosting/design).
 Where transfers outside the EEA occur, safeguards are applied through EU Standard Contractual Clauses (SCCs) or the EU-US Data Privacy Framework.

6. Cookies
Our website uses cookies. You are shown a cookie banner with active opt-in for analytics and marketing cookies. Strictly necessary cookies are always enabled. You can withdraw consent at any time.

7. Your Rights
You have the right to:
 - Access your data,
 - Correct or delete your data,
 - Restrict or object to processing,
 - Withdraw consent at any time,
 - Request portability of your data (Art. 20 GDPR),
 - File a complaint with a supervisory authority (in Estonia: Andmekaitse Inspektsioon).
